These Terms & Conditions (“Terms”) apply to your use of drevoudouris.com (the “Site”) and to services provided by Voudouris Consulting (“Voudouris Consulting”, “we”, “us”, or “our”), operating as Dre Voudouris, in Toronto, Ontario, Canada. By using the Site or engaging our services, you agree to these Terms.
1. Using this website
You may use the Site for lawful purposes only. You agree not to misuse it, interfere with how it works, or try to access it in ways we have not authorized.
Content on the Site is provided for general information. It is not professional advice for your specific situation, and results described in case studies or testimonials are not a guarantee of future results.
2. Our services
We provide SEO and AI search optimization, web design and development, Shopify and ecommerce websites, social media marketing, content creation, Google and Facebook ads, branding and logo design, email marketing, and app development. The exact scope, deliverables, timeline, and fees for each project are set out in a written proposal, quote, or agreement (a “Proposal”). If a Proposal conflicts with these Terms, the Proposal applies.
3. Quotes and changes
- Quotes are valid for [30] days unless stated otherwise.
- Work outside the agreed scope is a change request. We will confirm any added cost or time in writing before starting it.
4. Payment
- Projects require a non-refundable deposit of [50]% before work begins, unless the Proposal says otherwise.
- Remaining payments are due as set out in the Proposal. Invoices are due within [14] days.
- Monthly services are billed in advance and continue until cancelled with [30] days’ written notice.
- We may pause work on overdue accounts. Prices are in Canadian dollars and exclude applicable taxes (HST).
5. Your responsibilities
To keep projects on schedule, you agree to provide content, feedback, approvals, and access (such as logins and accounts) when needed. Delays in providing these may change the timeline. You confirm that any content, images, or materials you give us are yours to use, or that you have permission to use them.
6. Ownership
- Once paid in full, you own the final deliverables created specifically for your project, such as your website design, content, and custom code.
- Third-party items, such as themes, plugins, apps, fonts, stock images, and platforms like Shopify, remain subject to their own licences and fees.
- We keep ownership of our general tools, methods, and reusable code, and grant you a licence to use them as part of your deliverables.
- Unless you ask us not to, we may show completed work in our portfolio and marketing.
7. Third-party services
Many projects rely on third-party platforms, such as Shopify, Google, Meta, hosting providers, and AI tools. We are not responsible for their outages, policy changes, pricing changes, or account decisions.
8. No guarantees
We work hard to deliver great results, but we cannot guarantee specific outcomes, such as search rankings, AI search visibility, traffic, followers, leads, or sales. These depend on many factors outside our control.
9. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential losses, such as lost profits, revenue, or data. Our total liability for any claim related to a project is limited to the fees you paid for that project.
10. Confidentiality
We keep your non-public business information confidential and only use it to deliver your project.
11. Ending a project
Either party may end a project with written notice. You agree to pay for work completed up to that date. Deposits are non-refundable.

13. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any disputes will be handled by the courts of Ontario.
14. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above shows when they were last changed. Changes do not affect a signed Proposal already in progress.
